Initial Agreement For The Engagement And Provision Of Services

 
This Agreement is made on 06/06/2020.

Between

1. UK Great Logics Ltd, a company incorporated in England and Wales under company number 12070405 whose registered office is at 115B, Building 220, Wharfedale Rd, Wokingham RG41 5TP and

2.   NI number (prospective employee)

    here in after referred to as Parties.

Parties agreed as follows:
 
1.  Exclusive Right to Submit
Prospective employee hereby agrees to be presented exclusively by UK Great Logics to Clients.
 
2.  Salary/day rate
The Employee/Prospective Employee has agreed to be submitted for a rate of GBP /per day (contract position) or GBP /per annum (permanent position).

Prospective employee shall not discuss the rate or salary with anyone with the end client during the interview process or during or after the engagement and outside of the two parties at any time.
 
3.  Protection of Business Relationship
Prospectiveemployee understands that they are being introduced to Client ("Client") by UK Great Logics for the purpose of placement with the Client and agrees to respect the relationship between Client and UK Great Logics. Specifically, prospective employee agrees not to provide or attempt to provide services directly or indirectly, other than through UK Great Logics to Client for a period of one year from the date of this agreement. Employee / Prospective employee also agree not to introduce any associates, partners, co-workers, or related individuals to Client for the purpose of providing services, other than through UK Great Logics.
 
4.  Confidentiality and Data ProtectionThe identity of the Client, the identity of any intermediary parties, and the nature of potential assignments (including any information received by prospective employee from UK Great Logics, its Client, or any other party), and the staffing requirements of any of the aforementioned parties is a trade secret of UK Great Logics and is confidential and proprietary. Prospective employee will not disclose to any other party or permit any other party to use any such information without the prior written consent of UK Great Logics and they will only use such information to evaluate available assignments. Likewise, the employee / prospective employee’s identity, resume, and references will be treated by UK Great Logics as confidential and will not be shared with any third party except as specified in this agreement.
 
5.  Indemnity Clause Prospective employee agrees to indemnify and hold harmless UK Great Logics and Client in full from and against any and all, actions, claims, demands, proceedings, judgements, damages, losses (including indirect or consequential), liabilities, costs, charges and expenses (including legal fees), settlements, fines, interest and penalties of whatever nature and in whatever jurisdiction, which may be instituted, made or alleged against, or suffered or incurred by prospective employee arising from or in connection with any breach of his obligations under this Agreement;
 
6.  Governing LawsThis Agreement shall be construed in accordance with the laws of England and Wales and all disputes, claims or proceedings between the parties relating to the validity, construction or performance of this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
 
7.  Complete AgreementThis Agreement contains the entire agreement between the parties hereto with respect to the matters covered within. This Agreement shall not be modified in any way except as agreed to in writing and signed by both parties and stating expressly that it constitutes a modification of this Agreement.
